Annex 5 – Pro Plan Service Description

This service description is Annex 5 to the General Terms and Conditions ONE WARE – ONE AI (the "User Agreement"). It sets out the tiers, prices, included services and limits of the Pro plans and the terms of the Project Unlock with Deployment Credits (Annex 3 Part I section 5.4 and Part II section 5.2 of the User Agreement). The rules on billing, Compute Credits, plan changes, term and termination as well as the licence terms are set out in the User Agreement and its other annexes.
A Pro subscription is governed by the version of this service description that the customer accepted when ordering. For existing Pro subscriptions, ONE WARE may only change this service description in accordance with Annex 3 Part I section 5.4 ("Changes to the Pro plans"). A redeemed Project Unlock and the licences granted under it are permanently governed by the version authoritative at redemption (Annex 3 Part II section 5.2). Different services, limits or prices can be agreed individually (Annex 3 Part I section 5.6).
This English version is a translation for convenience. In the event of discrepancies, the German version prevails.

1.1 All prices are net amounts plus applicable VAT and are charged in advance for the selected billing period (one month or one year). The yearly price equals twelve times the monthly price.
1.2 The included Compute Credits are available anew at the start of each calendar month in accordance with Annex 3 Part I section 1.3. The training minutes are based on the price for training on servers of ONE WARE (50 Compute Credits / minute, Annex 3 Part I section 1.5).
1.3 Deployment Credits are only included with yearly billing and are credited at the start of each plan year (Annex 3 Part II section 5.1). Monthly billed Pro plans do not include Deployment Credits.

2.1 The number of members includes the owner, the administrators, the members and pending invitations of the organisation (clause 3.12 of the User Agreement).
2.2 The limits apply equally to monthly and yearly billing. Once the organisation reaches a limit, it cannot add further members, create further projects or AI models, upload further files or start further exports or tests beyond that limit.
3 Included services
All Pro plans include:
- the functions of the Software in accordance with Annex 1 (service description) within the limits set out in section 2;
- training on servers of ONE WARE, paid for with Compute Credits (Annex 3 Part I section 1.5);
- OneWare Cloud AI, paid for with Compute Credits (clause 3.15 of the User Agreement and Annex 3 Part I section 1.7);
- API access;
- self-hosted workers (clause 3.14 of the User Agreement);
- with yearly billing, Deployment Credits for Project Unlocks (section 4 and Annex 3 Part II).
4 Project Unlock with Deployment Credits
This section sets out the terms of the Project Unlock (Annex 3 Part II section 5.2). It also applies to Deployment Credits from individual agreements unless agreed otherwise there. The licence terms are set out in Annex 3 Part II sections 5.3 to 5.5.
4.1 Duration: A Project Unlock applies for 12 months from the unlock date.
4.2 Licence scope: By default, each Project Unlock licenses one AI model of the project, which the customer selects for commercial use. By redeeming additional Deployment Credits, the customer can instead license all AI models of the project.
4.3 Deployment Credits required: The number of Deployment Credits required depends on the features used by the project and on the licence scope and is displayed in the Software before redemption. If further features or a larger licence scope are required during a running Project Unlock, only the difference is charged; this does not extend the Project Unlock.
4.4 During and after the Project Unlock: During a running Project Unlock, the customer can retrain and export the AI models of the project and change the selected model; new exports of licensed models are covered by the licence. After the Project Unlock has expired, the licence for the exported state of the licensed models continues (Annex 3 Part II section 5.3). The commercial use of newly trained states, new exports and a change of the selected model then require a new Project Unlock.
5 Services not included
In particular, personal or individual consulting, feature adaptations, hardware consulting and AI development on behalf of the customer (Annex 1 (4)) as well as individual licence agreements (Annex 4) are not included. Such services require a separate agreement.
